Welcome to Pro Nova Technologies Inc. ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at https://pronovatech.com (the "Site"), the PNT Remote Monitoring & Management Services ("PNT-RMMS") desktop client, and any other software products, services, or content we provide (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

Acceptance of Terms

By creating an account, purchasing software, or otherwise using our Services, you confirm that:

  • You are at least 18 years old (or the age of legal majority in your jurisdiction).
  • You have the legal capacity to enter into a binding agreement.
  • You will use the Services in compliance with all applicable laws and regulations.

Account Registration

To access certain features of our Services, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and update your account information as needed.
  • Keep your password confidential and secure.
  • Notify us immediately of any unauthorized access to your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

Software Licenses

3.1 License Grant

Upon purchase or subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use our software products in accordance with the specific license terms provided with each product.

3.2 Restrictions

You agree NOT to:

  • Copy, modify, distribute, sell, or lease any part of our software.
  • Reverse engineer, decompile, or disassemble our software.
  • Remove or alter any proprietary notices, labels, or marks.
  • Use the software for any illegal or unauthorized purpose.
  • Share license keys or access credentials with unauthorized users.
  • Use automated tools to access our Services without permission.

3.3 License Types

We offer various license types including:

  • Perpetual Licenses: One-time purchase with lifetime access to the purchased version.
  • Subscription Licenses: Recurring payment for continued access and updates.
  • Device Licenses: Per-device licenses tied to specific hardware identifiers, included with RMMS subscriptions.

PNT-RMMS Specific Terms

4.1 Remote Monitoring and Management

By installing PNT-RMMS, you acknowledge and agree that:

  • The software collects and transmits device information (hardware specifications, operating system, network details, performance metrics) to Pro Nova Technologies Inc. servers.
  • The software runs as a background service and may start automatically at system boot.
  • The software periodically syncs device status and health information with our servers.
  • Device data is associated with your account and subscription for license management.

4.2 Remote Access Consent

PNT-RMMS enables authorized administrators to remotely access devices. By installing the software, you consent to:

  • Screen Viewing: Authorized administrators may view your screen in real-time.
  • Input Control: Administrators may control your keyboard and mouse during active sessions.
  • File Transfer: Files may be uploaded to or downloaded from your device during sessions.
  • System Management: Administrators may view/manage processes, Windows services, event logs, and execute diagnostic commands (with security restrictions on destructive operations).
  • Clipboard Synchronization: Clipboard content may be shared between the administrator and your device.
  • Session Recording: Remote sessions may be recorded for compliance and training purposes.

You may configure PNT-RMMS to require explicit user approval before each remote session ("User Controlled" mode) or allow automatic connections from authorized administrators ("Automatic" mode).

4.3 Peer-to-Peer Connections

PNT-RMMS supports direct peer-to-peer (P2P) connections between devices using WebRTC technology. When P2P connections cannot be established (due to network configuration or NAT), session data is relayed through our secure relay servers. All connections, whether P2P or relayed, are encrypted.

4.4 RMMS Company Portal

RMMS subscribers may create and manage a company within the RMMS portal. Company administrators can:

  • Invite team members and assign permission levels (View Only, Remote Access, Full Access, Admin).
  • Manage device groups, locations, and organizational structure.
  • Establish support agreements authorizing Pro Nova Technologies Inc. administrators to access company devices.
  • Revoke support agreements at any time, immediately terminating admin access authorization.

4.5 Automatic Updates

PNT-RMMS includes an automatic update feature that periodically checks for and may download software updates. Updates are verified using SHA-512 hash verification before installation. You may configure update behavior in the application settings.

4.6 Audit Trail

All remote access activities are comprehensively logged, including session times, administrator identity, commands executed, files transferred, and services modified. These logs are maintained for security and compliance purposes and may be reviewed by authorized personnel.

Payments and Billing

4.1 Pricing

All prices are displayed in USD unless otherwise specified. Prices are subject to change with notice. Applicable taxes will be added at checkout.

4.2 Payment Processing

Payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service. We do not store your full credit card information.

4.3 Subscriptions

  • Subscriptions automatically renew unless canceled before the renewal date.
  • You may cancel your subscription at any time through your account settings.
  • Canceled subscriptions remain active until the end of the current billing period.
  • We reserve the right to change subscription pricing with 30 days' notice.

Refund Policy

  • Software Purchases: We offer a 14-day refund policy for software purchases if the product does not function as described.
  • Subscriptions: Subscription fees are non-refundable, but you may cancel to prevent future charges.
  • Exceptions: Refunds are not available for products that have been substantially used or downloaded beyond evaluation.

Intellectual Property

All content, software, graphics, logos, trademarks, and other materials on our Site and in our products are the property of Pro Nova Technologies Inc. or our licensors and are protected by intellectual property laws.

You may not use our trademarks, logos, or branding without prior written consent.

User Conduct

When using our Services, you agree not to:

  • Violate any laws, regulations, or third-party rights.
  • Upload or transmit viruses, malware, or harmful code.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Interfere with or disrupt the integrity or performance of our Services.
  • Engage in any activity that could damage our reputation or business.
  • Use our Services to send spam, unsolicited communications, or phishing attempts.

Support Services

We provide technical support for our products through our support ticket system. Support includes:

  • Bug fixes and technical assistance for documented features.
  • Installation and configuration guidance.
  • Access to software updates during your license period.

Premium support services may be available for an additional fee. Custom development or consulting services are subject to separate agreements.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose.
  • Warranties that the Services will be uninterrupted, error-free, or secure.
  • Warranties regarding the accuracy or reliability of any information obtained through the Services.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRO NOVA TECHNOLOGIES INC. SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, data, use, goodwill, or other intangible losses.
  • Damages resulting from your use or inability to use the Services.
  • Any third-party conduct or content on the Services.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Pro Nova Technologies Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of our Services.
  • Your violation of these Terms.
  • Your violation of any third-party rights.

Termination

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination:

  • Your license to use our software is immediately revoked.
  • You must cease all use of our Services and delete any copies of our software.
  • Provisions that by their nature should survive termination will remain in effect.

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Pro Nova Technologies Inc. is incorporated, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our Site.
  • Updating the "Effective Date" at the top of this page.
  • Sending an email notification for significant changes (if you have an account).

Your continued use of our Services after changes become effective constitutes acceptance of the revised Terms.
